Theschemeonthestock-for-stockmergerofWuxiLittleSwanCompanyLimited(hereinafterreferredtoasthe“Company”)byMideaGroupCo.,Ltd.(hereinafterreferredtoas“MideaGroup”)throughtheofferingofA-shareshasbeenreviewedandapprovedbytheSecondExtraordinaryGeneralMeetingof2018oftheCompanyon21December2018.On12March2019,ChinaSecuritiesRegulatoryCommissionissuedtheReplyZ.J.X.K[2019]No.352toapprovethescheme.

TheCompanywillapplytotheShenzhenStockExchangeforterminationoflisting.Onceapprovedbytherelevantregulators,theCompanywillstarttheconversionofitsLittleswan-B(200418)andLittleSwan(000418)sharestoMideaGroupshares(A-shares).InordertoensurethattheB-shareinvestorsholdingtheirsharestothelasttradingdayandhavingtheirsharesconvertedknowabouttheproceduresregardingtheconversionoftheLittleswan-B(200418)sharestotheMideaGroupshares(A-shares)(hereinafterreferredtoasthe“B-to-AConversion”),theB-shareinve……
